Everything you need to know about SEC accreditation and real estate investing — in plain English.
01 What Is an Accredited Investor?
An accredited investor is an individual or entity that meets specific financial thresholds defined by the U.S. Securities and Exchange Commission (SEC) under Regulation D. Accreditation unlocks access to private investment offerings — such as real estate syndications, private equity, and hedge funds — that are not available to the general public.
The SEC introduced this classification to ensure that participants in unregistered securities can bear the financial risk and have sufficient knowledge of the markets.
02 How Do You Qualify?
Under SEC Rule 501 of Regulation D, you can qualify through any one of three paths:
Annual Income
$200,000+ individually (or $300,000+ jointly with a spouse) for the past two years, with a reasonable expectation of the same income level in the current year.
Net Worth
$1,000,000+ in net worth, individually or jointly with a spouse — excluding the value of your primary residence.
Professional Experience
Hold a Series 65 or Series 82 license, or a professional designation such as CFA, CPA, or equivalent credential recognized by FINRA.
03 Why Get Accredited?
Access private deals — real estate syndications, REITs, and Reg D offerings unavailable to the public.
Higher return potential — private real estate investments have historically outperformed public markets over the long term.
Portfolio diversification — real assets provide inflation protection and low correlation to stock market volatility.
Tax advantages — many real estate investments offer depreciation, 1031 exchanges, and pass-through deductions.
04 How Real Estate Investing Works
Once accredited, you can participate in Regulation D Rule 506(c) offerings — the most common structure for private real estate. Here's the typical flow:
1
Sponsor identifies a deal A real estate sponsor sources a property or portfolio and structures the offering.
2
You review the Private Placement Memorandum (PPM) Legal disclosure document outlining the investment terms, risks, and projected returns.
3
You invest capital Minimum investments typically range from $10,000 to $100,000 depending on the deal structure.
4
You receive distributions Quarterly or annual distributions from rental income and/or a share of the sale proceeds at exit.
